Welke aansprakelijkheidsverzekering past bij jouw bedrijf?

Een werknemer heeft net de vloer van jouw restaurant gedweild, vervolgens glijdt een klant uit en breekt zijn been. Het zal je maar gebeuren. De kans is groot dat de klant de ziekenhuiskosten op jou zal verhalen. Dan is het fijn als je terug kunt vallen op een aansprakelijkheidsverzekering.

Als je een bedrijf hebt, is het mogelijk dat er door jouw product of dienst schade ontstaat bij een klant. Ook kan een medewerker gewond raken op de werkvloer. Als eigenaar ben jij aansprakelijk, eventuele schadeclaims zijn daarom voor jouw rekening. In sommige gevallen is de schade beperkt, maar wat als de schade flink oploopt? Grote schade kan de continuïteit van jouw bedrijf in gevaar brengen of – in het ergste geval – leiden tot een faillissement. 

Aansprakelijkheidsverzekering voor bedrijven

Door middel van een aansprakelijkheidsverzekering voor bedrijven (AVB) ben je verzekerd tegen onvoorziene schade die jij en je medewerkers aanrichten tijdens een werkdag. Welke bedrijfsaanpsrakelijkheidsverzekering voor jou verstandig is, is van verschillende factoren afhankelijk. Vraag jezelf allereerst af welke risico’s je loopt. Dit is per bedrijf verschillend. Een lasser loopt bijvoorbeeld meer risico dan een fotograaf of kunstenaar. Heb jij mensen in dienst die regelmatig op bezoek gaan bij de klant? Ook dan is het risico groter dan wanneer je als zzp’er vanuit huis werkt.

Beroepsaansprakelijkheidsverzekering

Naast de aansprakelijkheidsverzekering voor bedrijven kun je ook een beroepsaansprakelijkheidsverzekering (BAV) afsluiten. Met een BAV-verzekering verzeker je de financiële schade die jij veroorzaakt door een beroepsfout. Denk hierbij aan een foute inschatting van een architect of een vergissing van een makelaar in een taxatie waardoor de waarde van een huis bij gedwongen verkoop ineens een stuk lager blijkt dat ingeschat. Voor eventuele vermogensschade die hieruit voortkomt kan een beroep gedaan worden op de beroepsaansprakelijkheidsverzekering.

De belangrijkste vragen over het UBO-register

Meer dan 1,5 miljoen organisaties krijgen in 2020 te maken met het UBO-register. Vanaf 27 september moeten veel organisaties UBO’s gaan inschrijven in dit nieuwe register. UBO’s (Ultimate Beneficial Owners) zijn personen die meer dan 25% van het economisch belang in een organisatie hebben. Wat weten we nu al over UBO’s en het UBO-register? Lees hier de 5 belangrijkste vragen en antwoorden.

1. Wat betekent UBO?

UBO staat voor Ultimate Beneficial Owner, ofwel uiteindelijk belanghebbende van een organisatie. Dit zijn de personen die de uiteindelijke eigenaar zijn van of zeggenschap hebben over een organisatie. Denk aan personen die meer dan 25% van de aandelen hebben in een bv. Of personen die meer dan 25% direct of indirect eigendomsbelang hebben in een vof of maatschap.

2. Waarom komt er een UBO-register?

Het UBO-register komt voort uit Europese regelgeving. Het gaat bijdragen aan het voorkomen van het gebruik van het financiële stelsel voor witwaspraktijken en terrorismefinanciering. Het UBO-register maakt transparanter wie aan de touwtjes trekt bij organisaties die in Nederland zijn opgericht. Zo kunnen personen hun financieel-economische criminaliteit niet meer verhullen achter juridische entiteiten. Daarnaast kunnen personen en organisaties door de openbaarheid van het register beter geïnformeerd besluiten met wie zij zaken doen.

Elk EU-land moet een UBO-register bijhouden. In Nederland is het beheer van het UBO-register belegd bij KVK.

3. Moet ik ook UBO’s gaan inschrijven?

Organisaties met de volgende rechtsvormen zijn verplicht om UBO’s in te schrijven:

  • niet-beursgenoteerde besloten en naamloze vennootschappen
  • stichtingen
  • verenigingen:
    • met volledige rechtsbevoegdheid
    • met beperkte rechtsbevoegdheid maar met onderneming
  • onderlinge waarborgmaatschappijen
  • coöperaties
  • personenvennootschappen: maatschappen, vennootschappen onder firma en commanditaire vennootschappen
  • rederijen
  • Europese naamloze vennootschappen (SE)
  • Europese coöperatieve vennootschappen (SCE)
  • Europese economische samenwerkingsverbanden die volgens hun statuten hun zetel in Nederland hebben (EESV)

Kerkgenootschappen zijn ook verplicht UBO’s in te schrijven. Het is nog onbekend wanneer dit mogelijk is; als dit bekend is worden de kerkgenootschappen hierover geïnformeerd.

Geen opgaveplicht

Heeft je organisatie één van de volgende rechtsvormen, dan heb je geen opgaveplicht:

  • eenmanszaken
  • beursgenoteerde besloten en naamloze vennootschappen
  • 100% dochters van beursgenoteerde vennootschappen
  • verenigingen van eigenaars
  • rechtspersonen in oprichting
  • verenigingen met beperkte rechtsbevoegdheid die geen onderneming drijven
  • publiekrechtelijke rechtspersonen
  • overige privaatrechtelijke rechtspersonen, waaronder historische rechtspersonen (zoals gilden en hofjes)

Buitenlandse rechtspersonen, zoals een Ltd of GmbH, en buitenlandse rechtspersonen die alleen vestigingen in Nederland hebben (‘branch offices’) hebben geen registratieplicht in Nederland. De Ltd of GmbH moet UBO’s inschrijven in het land van oprichting.

De verwerking van persoonsgegevens in het UBO-register zal conform de Algemene Verordening Gegevensbescherming (AVG) gebeuren.

4. Wanneer kan ik de UBO’s van mijn organisatie gaan inschrijven?

Vanaf 27 september 2020 08.00 uur kun je je UBO’s inschrijven.

Bestaande organisatie

KVK stuurt tijdig een brief aan alle opgaveplichtige organisaties die in het Handelsregister staan. In deze brief staat hoe je de UBO’s kan inschrijven. Dit kan online, via een formulier (post) of via de notaris. Je hebt tot 27 maart 2022 de tijd om opgave te doen. Hier zijn geen kosten aan verbonden.

Je hoeft niet te wachten op de uitnodiging. Vanaf 27 september kun je via http://www.kvk.nl/ubo UBO’s inschrijven. Alleen de tekenbevoegden binnen je organisatie mogen UBO’s inschrijven.

Heb je meerdere organisaties? Dan moet je per organisatie UBO-opgave doen.

Startende organisatie

Vanaf 27 september moeten opgaveplichtige organisaties een of meer UBO’s inschrijven, anders krijgen zij geen KVK-nummer.

Startende organisaties schrijven hun UBO’s in tijdens het registratieproces aan de balie, of bij de notaris. Ze kunnen niet online hun UBO’s inschrijven. Startende organisaties betalen standaard eenmalig een inschrijfvergoeding. Het inschrijven van UBO’s is kosteloos.

5. Wie mag de gegevens van geregistreerde UBO’s bekijken?

Wettelijk is bepaald dat een deel van de UBO-gegevens openbaar is. Iedereen mag deze gegevens inzien. Het gaat om de volgende gegevens:

  • voor- en achternaam
  • geboortemaand en –jaar
  • nationaliteit
  • woonland
  • de aard en omvang van het belang

Wil je deze UBO-gegevens inzien? Dat kan vanaf 27 september 2020 door online een KVK uittreksel UBO-register te bestellen. Hiervoor heb je een toegangscode nodig die je eenvoudig kunt aanvragen. Het KVK uittreksel UBO-register zal ook te bestellen zijn via KVK Dataservice. De kosten voor het uittreksel bedragen €2,50.

Een deel van de UBO-gegevens zijn niet openbaar. Deze kunnen uitsluitend worden ingezien door bevoegde autoriteiten (zoals het Openbaar Ministerie). Zij gebruiken deze gegevens om onderzoek te doen naar het gebruik van het financiële stelsel voor witwaspraktijken en terrorismefinanciering.
